1. Acceptance of Terms

By accessing or using RFXapp ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

RFXapp is a web-based platform that helps businesses manage procurement and sourcing activities. The Service uses AI to assist with document extraction, bid evaluation, and email communication with suppliers.

3. User Accounts

3.1 Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years old to use the Service.
• You may not create multiple accounts to circumvent limitations.

3.2 Account Responsibilities

• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscription and Payment

4.1 Pricing

• Free Tier: 5 projects per month, 5 suppliers per project, 20 AI calls per day, 20 emails per month
• Pro Tier: £49 GBP / $65 USD / €59 EUR per month — unlimited projects and suppliers, 500 AI calls per day, unlimited emails

4.2 Billing

• Pro subscriptions are billed monthly in advance.
• Payment is processed through Stripe. By subscribing, you agree to Stripe's Terms of Service.
• All fees are non-refundable except as required by law.
• We reserve the right to change pricing with 30 days' notice.

4.3 Cancellation

• You may cancel your Pro subscription at any time.
• Cancellation takes effect at the end of your current billing period.
• No refunds are provided for partial billing periods.

5. Acceptable Use

5.1 Permitted Use

• Use the Service for legitimate business procurement activities.
• Comply with all applicable laws and regulations.
• Respect the intellectual property rights of others.

5.2 Prohibited Conduct

You may not:

• Use the Service for any illegal or unauthorized purpose
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Service or other users' data
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell, redistribute, or make the Service available to third parties
• Abuse AI features for non-procurement purposes or excessive automated requests
• Send spam or unsolicited emails through the Service
• Impersonate another person or entity

6. Content and Data

6.1 Your Content

• You retain ownership of all data and content you upload to the Service.
• You grant us a license to use your content solely to provide and improve the Service.
• You are responsible for ensuring you have the right to upload all content.

6.2 AI-Generated Content

• AI-generated content (evaluations, emails, comparisons) is provided "as is" without warranty.
• You are responsible for reviewing and approving all AI-generated content before use.
• We are not liable for errors, omissions, or inaccuracies in AI-generated content.

7. Third-Party Services

The Service integrates with third-party services:

• Supabase: Database and authentication
• Google Gemini: AI processing
• Postmark: Email delivery
• Stripe: Payment processing

Your use of these services is governed by their respective terms of service. We are not responsible for third-party services.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

10. Termination

• You may terminate your account at any time by contacting support@rfxapp.com.
• We may suspend or terminate your account if you violate these terms.
• Upon termination, we will delete your data within 30 days.

11. Changes to Terms

We may update these terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance.
